Whitworth's Relational Investors Shows Capital One (NYSE: COF) Stake, Also Raises Sprint (S) Stake Among Others

Ralph Whitworth's Relational Investors hedge fund disclosed its latest 13F for the quarter ended September 30, 2007 last night. More notable was Whitworth's amended 13F for the quarter ended June 30, also released last night.

In the 06/30 amended 13F, Whitworth's firm disclosed that they held a 4.8 million shares stake in Capital One (NYSE: COF) at the end of the quarter. The firm first reported the stake yesterday because they had confidential treatment, which allowed them to keep the stake secret. The confidential treatment expired. Warren Buffett is another filer that often uses confidential treatment.
The latest 13F showed that Whitworth's firm raised the Capital One stake to 6,766,187 shares at the quarter ended September 30, 2007.
Whitworth raised his stake in Baxter International (NYSE: BAX) from 31,595,614 shares to 32,457,579 shares. He also raised his stakes in Unum Group (NYSE: UNM) from 31,177,709 shares to 35,718,918 shares and Sprint Nextel (NYSE: S) from 32,029,827 shares to 51,251,644 shares.
Whitworth lowered his stake in Prudential Financial (NYSE: PRU) from 14,741,006 shares to 10,973,117 shares. He also lowered his stake in Analog Devices (NYSE: ADI) from 5,105,462 shares to 2,955,462 shares.
Whitworth maintained stakes in National Semiconductor (NYSE: NSM), Sovereign Bancorp (NYSE: SOV), Home Depot (NYSE: HD).

Home Depot: An Activist on the Board

After the close, Home Depot (NYSE: HD) announced an astonishing $22.5 billion increase to its share repurchase program. The Company will fund the $22.5 billion share repurchase with the net proceeds from the sale of HD Supply, existing cash on hand and the net proceeds from an anticipated $12 billion issuance of senior unsecured notes.

As you may recall, activist firm Relational Investors was awarded a board seat in February as part of a settlement on corporate governance matters. Relational was instrumental in getting former-CEO Bob Nardelli ousted and getting the company to look at a sale of the supply business, which was also announced yesterday. It can also be safely assumed that they had something to do with the buyback decision.

Here is my guess on how the board meeting went:

Frank (Blake, Chairman): But David (Batchelder from Relational), if we take on this much debt the credit agencies will cut our ratings.

David: F%@^ those pricks. Lever up that damn balance sheet.

Frank: But David, what about our customers? We can spend the money improving service.

David: F@^! the damn customers, shareholders are what matters. The customers can figure it out through trial and error or eventually they will run into what they are looking for walking around the stores.

Relational Investors Boosts Stake in Unum Group (UNM) to 8.55%

In an amended 13D filing after the close on Unum Group (NYSE: UNM), Relational Investors disclosed they raised thier stake in the company to 8.55% (29.3M shares). This is up from the 7.49% stake (25.7 million shares) the firm disclosed in an May 13D/A filing.

In the original 13D filing, Relational Investors said they believe that several major factors have contributed to the Shares' undervaluation and underperformance including the Company's history of: (i) repeated, significant, one-time reserve and settlement charges against reported earnings, (ii) poor operating results and (iii) poor forecasting. Relational said it intend to closely monitor the management's progress toward achieving the Company’s 2007-2008 performance targets.

Relational Investors Discloses "Confidential" 5.1M Share Stake in Analog Devices (ADI)

In an amended 12/31/06 13F filing, activist investors Relational Investors disclosed a 5.1 million shares stake in Analog Devices Inc. (NYSE: ADI). The firm requested confidential treatment of the position and it was not disclosed with the firm's original 12/31/06 13F which was released on 02/14/07.

Relational maintained its 5.1 million share stake in ADI from 12/31/06 to 03/31/07, according to its new 13F.

In the firm's new 13F for the quarter ended 03/31/07 , Relational Investors also disclosed a new 14.2 million share stake in Sprint-Nextel (NYSE: S) (WSJ report in April noted the position). The firm also closed out its stake in Ceridian (NYSE: CEN).

Relational Investors is best known for its push to remove Home Depot's (NYSE: HD) CEO Bob Nardelli.

Relational Investors Adds Almost 4M Shares of National Semiconductor (NSM)

In an amended 13D filing (and various Form 4s) after the close on National Semiconductor Corp. (NYSE: NSM), Relational Investors, LLC disclosed a 12.13% stake (38,024,939 shares) in the company. This is up from the 34,223,161 share stake the firm disclosed at the quarter ended 12/31/06. The firm disclosed a number of transactions in the $26-$27 price range.

Whitworth's Relational Investors Now Targeting Sprint-Nextel (S)

According to reports from the Wall Street Journal, activist investor Relational Investors has built a stake of about $500 million, or nearly 1%, in Sprint-Nextel (NYSE: S).

The paper said Relational Investors' Ralph Whitworth has been calling for a number of changes at the company, including a pullback in its capital spending and a potential sale of its fiber-optic networking and long-distance operation.

On Tuesday, Relational Investors said they sold their remaining shares in Ceridian Corp. (NYSE: CEN), with Whitworth saying the firm has "bigger fish to fry."

Relational Investors was recently successful in its push to remove Home Depot (NYSE: HD) CEO Bob Nardelli and to split off the HD Supply business. Relational Investors was also provided a seat on Home Depot's board.

Reports Relational Investors Sold Remaining Stake in Ceridian (CEN)

According to reports from Reuters, activist fund Relational Investors said they sold their remaining shares in Ceridian Corp. (NYSE: CEN). According to the report, Relational Investors' principal Ralph Whitworth said the firm has "bigger fish to fry."

Ceridian is also an activist target of Bill Ackman's Pershing Square Capital, which wants the company to spin-off its Comdata division and is seeking to replace the board.
In a letter to Ceridian's Chairman earlier in the year, Relational Investors said they would support each of the points made by Pershing Square. In the same letter, Relational Investors noted they decided to begin selling their position having experienced many of the same frustrations expressed by Pershing Square.
In February, Ceridian announced that its Board of Directors has decided to explore a broad range of strategic alternatives to enhance shareholder value.

Relational Investors Boosts Stake in Unum Group (UNM) to 7.49%

In an amended 13D filing after the close Friday on Unum Group (NYSE: UNM), Relational Investors disclosed a 7.49% stake (25.7 million shares) in the company. This is up from the 6.21% stake (21.3 million shares) the firm disclosed in the original 13D filing in mid-March. The firm held a 14.37 million share stake in UNM for the quarter ended December 31, 2006.

In the original 13D filing, Relational Investors said they believe that several major factors have contributed to the Shares' undervaluation and underperformance including the Company's history of: (i) repeated, significant, one-time reserve and settlement charges against reported earnings, (ii) poor operating results and (iii) poor forecasting. Relational said it intend to closely monitor the management's progress toward achieving the Company’s 2007-2008 performance targets.

Relational Investors To Unum Group (UNM): We're Watching You, Don't Mess Up

In a 13D filing after the close Friday on Unum Group (NYSE: UNM), Relational Investors disclosed a 6.21% stake (21.3 million shares) in the company. This is up from the 14.37 million share stake the firm disclosed for the quarter ended December 31, 2006.

Relational said they believe the shares are undervalued and believe that several major factors have contributed to the Shares’ undervaluation and underperformance including the Company’s history of: (i) repeated, significant, one-time reserve and settlement charges against reported earnings, (ii) poor operating results and (iii) poor forecasting.

Relational believes these deficiencies have deteriorated management's credibility with investors and caused investors to skeptically view management’s turnaround plan.

Relational said recent meetings between its representatives and the Company's executive and operating management have increased their confidence that the Company can achieve its 2007 and 2008 performance targets. On March 5, 2007 Relational presented their views and concerns to a subset of the Company’s board. At this time, Relational believes the board is well informed and properly overseeing management and the strategic direction of the Company. Relational believes the Company’s board will have to consider broad strategic alternatives if the Company's 2007-2008 performance targets are not met or if their achievement becomes unlikely.

Relational Investors has been in the news recently related to is successul push to remove Home Depot (NYSE: HD) CEO Bob Nardelli and to split off the HD Supply business. Relational Investors was provided a seat on Home Depot's board.

Pershing Square Raises Stake in Ceridian (CEN) to 13.5%, Has Support of Relational Investors LLC

In an amended 13D filing on Ceridian Corporation (NYSE: CEN), Bill Ackman's Pershing Square Capital disclosed a 13.5% stake (18.7 million shares). This is up from the 11.3% stake (15.7 million shares) the firm disclosed in a past filing. Pershing Square also said it has no present plans to acquire more than a 15% stake in the company.

Pershing Square recently notified the company that they propose to nominate eight persons for election to the Board of Directors at the 2007 annual meeting of stockholders.

In a proxy filing, Pershing Square also disclosed a letter sent to Ceridian's Chairman from fellow investor Relational Investors LLC, saying they unequivocally support each of the points made by Pershing Square in a recent letter and plan to vote their remaining shares in support of Pershing Square. In the letter Relational Investors said, "we think it was a major error to bring in a Chief Executive Officer who would stifle and frustrate the entrepreneurial and highly successful management team at Comdata instead of focusing on the woefully underperforming HR business. We believe, as we have explained before, that Comdata should be liberated from the Ceridian business solution and that all focus, including the Board's, should be on restoring operational excellence to the HR business."

Relational Investors said prior to the exchange between Pershing Square and the Ceridian Board they decided to begin selling their position having experienced many of the same frustrations expressed by Pershing Square.

Dear White:

We have, of course, seen the letter from Pershing Square Capital Management("Pershing Square") to the Ceridian Board and the Board's response by way of Ms. Marinello's letter to Pershing Square dated January 22, 2007.

Prior to this exchange, we had decided to begin selling our position having experienced many of the same frustrations expressed by Pershing Square. It is not typical that we would take this action, but given our long dialogue with management and the Board over the past two years and Ms. Marinello's refusal to receive input from us and other shareholders over the last four months, we decided that our time would be better spent focused on the larger positions in our portfolio. It is flabbergasting that Ms. Marinello chose not to reach out to shareholders to obtain their input and support. We understand that Ms. Marinellois busy, but it is inexplicable that for four months she would refuse to meet, even briefly, with a large long-term shareholder with a track record ofconstructive disclosure with the company's management and Board. This approach to shareholder relations betrays either arrogance or naivete, both of which areterminal for a corporate leader in today's world.

That being said, we want to make sure that the Board knows that we unequivocallysupport each of the points made in Pershing Square's letter. In particular, we think it was a major error to bring in a Chief Executive Officer who would stifle and frustrate the entrepreneurial and highly successful management team at Comdata instead of focusing on the woefully underperforming HR business. We believe, as we have explained before, that Comdata should be liberated from the Ceridian business solution and that all focus, including the Board's, should be on restoring operational excellence to the HR business. We intend to vote our remaining shares in support of Pershing Square or other shareholders' efforts to correct these errors.

We believe the Board could benefit from the input of "fresh blood" with a strong shareholder perspective. I have followed your career over the years with admiration and respect, but in this case, I believe the Board is way off track.The best evidence of that is the palpable dissatisfaction of your shareholder base, including Relational Investors.

Having reviewed Ms. Marinello's response to Pershing Square I do not expect a response to this letter. I merely hope the Board will give our input serious consideration. I would appreciate it if you would distribute a copy of this letter to each member of your Board.

Activists Getting Respect and Results - NYT

The New York Times has a interesting article on how activist investors are getting respect and getting results. Link

The articles discusses this week's firing of Home Depot CEO Bob Nardelli, the fruits of Ralph Whitworth of Relational Investors who was ruffling feathers at the company. The article has interesting background on Whitworth, saying his fund, "oversees about $7 billion, all invested in only nine companies that are chosen with an eye toward activist intervention." The fund has averaged a return of 25% over the last nine year.

There is an interesting quote in the article from James V. Pickett, chairman of Wendy’s, which was itself the target of activism from Pershing Square Capital and Nelson Peltz back in 2005. He said, "Most of the issues the activists raised at Wendy’s were things we were already dealing with. They just increased the intensity. But when they own that much of the company, you have to listen to them even if you don’t want to.”
