Loeb Partners Discloses 5.9% Stake in Takeover Target Opinion Research (ORCI)

In a 13D filing on Opinion Research Corp. (NASDAQ: ORCI) , Loeb Partners disclosed a 5.9% stake (325K shares) in the company. 261,157 of the shares are owned by Loeb's Arbitrage Fund.

In the filing, Loeb said it may engage in discussions with management or the Board of Directors concerning the business and future plans of the Company. Loeb also said it may in the future seek Board representations, make proposals to the Company concerning the capitalization of the Company, purchase additional Common Stock and other securities of the Issuer, sell some or all of its Common Stock, engage in short selling of or any hedging or similar transaction.

In August, infoUSA Inc. (Nasdaq: IUSA) entered into a definitive agreement to acquire Opinion Research Corporation for $12.00 per share in cash. The transaction is expected to close in the fourth quarter of 2006. Shares of Opinion Research are currently trading at $11.41.
